1. Acceptance of Terms
By accessing or using the Vortonic platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Services. Vortonic reserves the right to modify these terms at any time. Continued use of the Services after changes constitutes acceptance of the updated terms.
2. Description of Services
Vortonic provides AI-powered property analytics, valuation tools, and market intelligence for real estate investors. The Services include, but are not limited to, After Repair Value (ARV) modeling, Maximum Allowable Offer (MAO) calculations, comparable sales analysis, property data reports, and API access. The Services are intended for use by professional real estate investors, investment firms, and lending institutions.
3. User Accounts
You may be required to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Vortonic immediately of any unauthorized use of your account. Vortonic reserves the right to suspend or terminate accounts at its discretion.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not: (a) use the Services to violate any applicable law or regulation; (b) attempt to gain unauthorized access to any part of the Services; (c) reverse engineer, decompile, or disassemble any aspect of the Services; (d) resell, redistribute, or sublicense the Services without prior written consent; (e) use automated systems to access the Services in a manner that exceeds reasonable usage.
5. Data and Accuracy
While Vortonic strives to provide accurate and up-to-date property data and valuations, all information provided through the Services is for informational purposes only and should not be considered as financial, investment, or legal advice. Vortonic does not guarantee the accuracy, completeness, or reliability of any data or analysis. Users should conduct their own due diligence and consult with qualified professionals before making investment decisions.
6. Intellectual Property
All content, features, and functionality of the Services — including but not limited to algorithms, models, software, text, graphics, logos, and data compilations — are the exclusive property of Vortonic and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Services without prior written consent.
7. Limitation of Liability
To the fullest extent permitted by law, Vortonic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Vortonic's total liability for any claims arising under these Terms shall not exceed the amount you paid to Vortonic in the twelve months preceding the claim. The Services are provided "as is" and "as available" without warranties of any kind.
8. Termination
Vortonic may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, and dispute resolution.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.
